Could anyone explain if there is any difference in:

I watch American Tv programmes NOT TO/ SO AS NOT TO  forget my English

Are they both acceptable?

Like Anita, I would definitely use the second choice.
" so as" shows the purpose of watching American TV pprograms. The first one is incomplete.
